General Cost for Service
Best PC Professionals, LLC generally charges $85.00 per hour for Commercial Services. We offer this discounted hourly rate for the first year in business as Best PC Professionals,LLC (Once Best PC Service DBA [BestPCService.com] Est 2004). The customer is billed for 1 hour for the initial visit and up to 1 hour of work. Additional time is billed in 1/2 hour increments there after. We must charge additional time to our customers outside a 25 mile commute when remote control work is not possible. We do, on rare occasions, work on some home computers. We are in business for businesses and we will offer small home based businesses support too. Best PC Pro, LLC, BestPC; (bestpcpro.com / bestpcpervice.com) does offer discount rates for some special organizations and other special cases that need to be consulted with us verbally first. Pricing for Websites, CMS, or Ecommerce Solutions are priced as a package then billed hourly there after.
We are here to solve all your computer server, workstation, or networking needs! We are HP Authorized and offer HP Direct discounts. We do, however, work on all major brands including custom configured systems.

Warranty:
All products purchased from BESTPCPRO®carry a 90 day on-site replacement warranty unless noted otherwise. CPU's have 30 day warranty, unless noted differently.
BESTPCPRO.COM _ STANDARD TERMS & CONDITIONS
All services, including all travel time to and from customer site is billed at the quoted rates, unless otherwise modified by written agreement. In the event that parts, materials, hardware, software, cables or supplies are needed, then payment is required upon order. In certain major metropolitan areas, we may elect to bill for an additional $20.00 per 25 mile transportation fee. If collection proceedings are initiated by BESTPCPRO® to collect delinquent amounts, BESTPCPRO® will be entitled to interest on the outstanding balance plus reasonable attorney's fees required to collect the outstanding amounts. If you have submitted a credit application and have been granted Net 15 day terms, then failure to pay within 15 days from the date of invoice shall subject customer to a one-and-one-half (1.5%) percent per month late charge until said balance is paid in full. Said late charge shall be added to any overdue balance. If invoices are not paid within the agreed to terms the hourly rate for all unpaid work performed will be re-billed at the hourly rate of $125.00 Per Hour.

TERMS AND CONDITIONS
The following terms and conditions are part of all proposals by Best PC Professionals, LLC, to the purchaser:
Article 1 - Scope of Work; Period of Performance
A. Best PC Professionals, LLC agrees to use its best efforts to provide Web Hosting and Consulting services in accordance with the Summary of Deliverables set forth in the proposal.
B Whenever Best PC Professionals, LLC knows or reasonably should know that any actual or potential condition is delaying or threatens to delay the timely performance of the Project, Best PC Professionals, LLC shall within 10 days give notice, provide all relevant information with respect to the condition, and may request an extension of time to complete the Project.
Article 2 - Changes in the Project
A. The purchaser may, at any time, by written order to Best PC Professionals, LLC, (a) make changes within the general scope of the Project, including but not limited to (i) revising, adding to, or deleting portions of the Project, or (ii) revising the period or schedule of performance, or (b) require Best PC Professionals, LLC to stop all or any part of the work on the Project.
B. Upon receipt of such change or stop work order, Best PC Professionals, LLC shall immediately make all necessary steps to comply with the order and to minimize the incurring of costs allocated to work deleted or stopped.
C. If any order under this Article 2 causes an increase or decrease in the price of the project or in the time required for performance of this project an equitable adjustment shall be made by the purchaser in the price or in the time of performance, or both, either at its own instance when the order is issued or upon request by Best PC Professionals, LLC. Any request by Best PC Professionals, LLC for equitable adjustment hereunder must be asserted within 30 days from the date of receipt by Best PC Professionals, LLC of the change order. Unless otherwise directed, in writing, by the purchaser, Best PC Professionals, LLC shall continue work on the project, including work which is the subject of any equitable adjustment.
D. Change orders issued pursuant to the project shall not be proper authorization for Best PC Professionals, LLC to exceed the price, unless such change order or other duly authorized contract modification contains a statement expressly increasing such price.
Article 3 - Data; Proprietary Information
A. Best PC Professionals, LLC may have a proprietary interest in certain portions of the information furnished to the purchaser pursuant to this project. The purchaser will not disclose to any third party any such information which is specifically designated as being proprietary to Best PC Professionals, LLC without the written permission of Best PC Professionals, LLC. The provisions of this paragraph shall not apply to any information furnished by Best PC Professionals, LLC not withstanding any confidential designation thereof, which is known to the purchaser without limitation or restriction at the time of disclosure, which is or becomes generally available to the public, without breach of these terms and conditions, or which is received from a third person without limitation or restriction at the time of disclosure. Nothing herein shall prohibit the purchaser from disclosing any information to a court or government agency upon formal demand therefore.
Article 4 - Inventions and Patents
A. Whenever any invention is made or conceived by Best PC Professionals, LLC or its employees in the performance of work under this project, Best PC Professionals, LLC shall have title to any invention or discovery in any United States and foreign applications and patent rights that might result.
Article 5 - Limitation of Liability
A. Except as provided in Article 11, neither Best PC Professionals, LLC nor its subcontractors and suppliers of any type shall be liable to the purchaser in contract, in tort (including negligence or strict liability), under any warranty or otherwise, for damage or loss of property of equipment, loss of profits or revenue, loss of use of equipment or power system, cost of capital, cost of purchased or replacement power (including additional expenses incurred in using existing power facilities) claims of customers of the purchaser or for any special, indirect, incidental or consequential loss or damage whatsoever. The remedies of the purchaser set forth in Article 13 are exclusive and the total cumulative liability of Best PC Professionals, LLC to the purchaser with respect to this contract, or anything done in connection therewith such as the performance or breach thereof, or from the manufacture, sale, delivery, resale, or use of any product covered by or furnished under the contract, whether in contract, in tort (including negligence or strict liability) or otherwise, shall not exceed the contract value.
Article 6 - Governing Law
A. This agreement shall be governed, interpreted and construed in accordance with the laws in the State of Ohio.
Article 7 - Insurance
A. Best PC Professionals, LLC represents that it maintains, and shall continue to maintain during the performance of this Agreement, Worker's Compensation Insurance, in statutory amount, covering its employees, and Comprehensive General Liability and Automobile Liability Insurance. Prior to the commencement of the Project, Best PC Professionals, LLC shall obtain insurance carrier certificates listing the purchaser as a named insured on Best PC Professionals, LLC’s Liability Insurance policies in connection with this Agreement. Such certificate shall provide that the insurance shall not be changed or canceled until 30 days prior written notice has been given to the purchaser. Such certificate shall be delivered to the Project Administrator no later than the date upon which the first invoice for payment hereunder is submitted by Best PC Professionals, LLC.
Article 8 - Warranty
A. Best PC Professionals, LLC warrants that the development, design and supervision services of its personnel shall reflect their best professional judgment and knowledge and that work on this contract shall be performed in a professional manner consistent with standards generally accepted by members of the profession which it practices. Should the purchaser promptly notify Best PC Professionals, LLC of any failure of any portion of the work performed to conform to this Warranty within one (1) months after completion of such portion of the work, Best PC Professionals, LLC shall correctly perform such portion of the services without charge to the purchaser.
B. THE WARRANTY SET FORTH IN THIS PROVISION IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, WHETHER STATUTORY, EXPRESSED OR IMPLIED (INCLUDING ALL WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND ALL WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE). The remedy provided above is the purchaser's sole remedy for any failure of Best PC Professionals, LLC to comply with its obligations under this Agreement. Correction of any non-conformance in this manner shall constitute complete fulfillment of all the liabilities of Best PC Professionals, LLC to the purchaser under this agreement, whether the claims of the purchaser are based on contract, in tort (including negligence) or otherwise with respect to or arising out of the work performed hereunder.
Article 9 - Force Majeure
A. Best PC Professionals, LLC shall not be liable for delay in performance or for failure to perform due to any cause beyond Best PC Professionals, LLC’s reasonable control, including but not limited to fire, flood, strike or other labor difficulty, act of God, act of any governmental authority (including priorities) or of the purchaser, riot, sabotage, embargo, car shortage, fuel or energy shortage, wreck or delay in transportation, major equipment breakdown, inability to obtain necessary labor, materials or other facilities from usual sources including Best PC Professionals, LLC’s subcontractors. In the event of delay in performance due to any such cause, the date of delivery or time of completion shall be extended by such length of time as may be reasonably necessary to overcome the effect of such delay.
Article 10 - Visits and Inspections
A. The purchaser and any of its authorized representatives shall have the right during ordinary business hours to visit and inspect the offices of Best PC Professionals, LLC and its subcontractors, if any, and the site or sites at which work on the Project is being performed, to the extent that such visits do not unreasonably interfere with the project.
B. Best PC Professionals, LLC shall provide, and shall require it subcontractors to provide, all reasonable facilities and assistance for the safety and convenience of such representatives during their visits, including making personnel engaged in the project available for consultation at all reasonable times.
Article 11 - Notices
A. All notices and communications to Best PC Professionals, LLC under this agreement shall be in writing and sent to:

B. Either party may change its above address by notice to the other in accordance herewith. All notices and communications shall take effect immediately upon mailing or other delivery by the party giving the notice.
Article 12 - Benefit; Entire Agreement; Assignment
A. This proposal constitutes the entire agreement between the parties supersedes all previous agreements and understandings relating to the project. This proposal may not be altered, amended, or modified except by a written instrument signed by the duly authorized representatives of both parties.
B. In the event of a transfer to a third party of any product delivered hereunder or interest therein, the purchaser shall, at its option, either (i) obtain for Best PC Professionals, LLC written assurance from the transferee that Best PC Professionals, LLC’s and its subcontractor's and supplier's protection against liability following the transfer is the equal of that provided by this contract, or (ii) indemnify them against any liability they may incur in excess of that which they would have incurred had the purchaser obtained the above assurance from the transferee.
Article 13 - Non-Waiver
A. Failure or successive failures on the part of either party, its successors and assigns, to enforce any covenant or agreement herein, or any waiver or successive waivers on its or their part of any covenant or condition of this Agreement, shall not operate as a discharge of such covenant, agreement or condition, or render the same invalid, or impair the right of either party, its successors and assigns, to enforce the same.
Article 14 - Termination
A. This agreement may be terminated by either party upon 30 calendar days written notice. Best PC Professionals, LLC will be entitled to payment of reasonable and proper termination charges. These charges shall include, but not be limited to the total amount invoiced (and not previously paid) at the time notice is received, plus the cost of closing down the work and satisfying commitments. The total of all termination charges plus payments previously made shall not exceed the total price.
B. Termination by the purchaser in accordance with this article, shall relieve Best PC Professionals, LLC of further obligations under this agreement.
Article 15 - Software Restrictions
The purchaser shall not copy, change or release to a third party, any Best PC Professionals, LLC furnished software or any other vendor's proprietary software, manuals, and materials which have been provided for use under this contract. The purchaser shall only use the above cited material and software on the computer system for which or with which it is acquired.
We reserve the right to make changes or updates to our site, including adjustments for typographical errors or for product specification clarifications, without notice.
